Agility Robotics, the American humanoid robot manufacturer, received approval from Churchill Capital Corp XI shareholders to complete its merger and go public in the United States. The transaction was approved on Monday (2), with debut scheduled on the Nasdaq for November 5, under the ticker AGLT.
The business combination received more than 84% of the votes cast at Churchill XI's extraordinary general meeting. Completion is scheduled for Wednesday (4), subject to meeting the remaining requirements, including listing requirements.
With the transaction, Agility expects to obtain approximately US$ 465 million in gross capital, before transaction expenses. The amount includes US$ 164 million from the Churchill XI fund, US$ 201 million from a private placement of shares led by Foxconn and US$ 100 million in financing already received.
The company intends to use the funds to expand its commercial operation and accelerate the deployment of Digit, a humanoid robot developed to perform industrial and logistics tasks.
Shareholders redeemed 61.5% of the SPAC's shares
Despite the merger approval, documents filed with the U.S. Securities and Exchange Commission (SEC) reveal that Churchill XI shareholders requested the redemption of 25.45 million shares, equivalent to approximately 61.5% of the class A ordinary shares outstanding at the deadline.
The redemptions represent a withdrawal of US$ 261.8 million from the SPAC's fund. The US$ 465 million figure announced by the companies already considers this reduction, along with the additional financing expected.
Agility seeks to become the only U.S. publicly traded company dedicated exclusively to humanoid robotics and with active commercial deployments, according to the characterization presented by the companies.
Its main product is Digit, used in commercial logistics and automation operations. The manufacturer maintains commercial relationships with companies such as GXO, Schaeffler and Toyota Motor Manufacturing Canada.
In October, Agility announced the expansion of the facilities that will receive Digit at GXO and reported having more than US$ 300 million in committed multi-year orders for Digit 5. These amounts depend on meeting contractual milestones and technical specifications, and do not represent revenue already realized.
The new generation of the robot, presented in September, has initial deliveries expected for the first half of 2027 and broader commercial availability planned for the end of that year.
With the completion of the merger, the resulting company will keep the name Agility Robotics. In addition to the AGLT shares, its warrants are expected to trade under the ticker AGLTW, if the listing is completed according to the announced schedule.
